GRAIL’s Legal Department is seeking a dynamic and collaborative Senior Staff Corporate Counsel to join the Corporate Transactions team, supporting GRAIL’s transactions across the entire company, including the Clinical Development, Commercial, Facilities, Finance, IT, Pharma Partnerships, Procurement, and Research organizations. This position requires significant experience in reviewing, drafting, and negotiating procurement and commercial agreements typical of the life sciences industry. You will work cross-functionally and independently while providing analysis and counsel to executive leaders and key business stakeholders. This position reports directly to the Assistant General Counsel, who reports to the Head of Commercial Law.

This onsite hybrid role currently requires two days per week at GRAIL’s Menlo Park, CA headquarters. With Tuesdays and Thursdays as the current onsite schedule, this role offers the opportunity to be deeply integrated into GRAIL’s dynamic and innovative environment.

Responsibilities:

  • Provide input on the vision and strategy of the Corporate Transactions team.
  • Draft, review, and negotiate a variety of agreements typical of life sciences companies, including services agreements, statements of work, sales agreements, material transfer agreements, collaboration agreements, and research agreements.
  • Support various legal assignments and initiatives, including template development, revision, and training of client groups.
  • Provide timely legal counsel to internal clients on contract interpretation, dispute resolution, intellectual property ownership, and other legal risks.
  • Assist with the development of policies, procedures, and preferred positions for different agreements.
  • Offer legal advice and support for existing partnerships.
  • Develop strong working relationships with functional groups and project teams.
  • Work independently without significant oversight.
  • Identify opportunities to improve templates, processes, policies, and operations.

Preferred Qualifications:

  • A U.S.-based law degree from an accredited law school and active membership in a state bar or registration as in-house counsel.
  • 5+ years of transactional experience, ideally with a mix of national law firm experience and in-house life sciences experience advising, drafting, and negotiating agreements.
  • Significant experience with life sciences industry transactions, advising clients on both business and legal issues.
  • Experience in companion diagnostic and pharmaceutical transactions is a plus.
  • Familiarity with healthcare compliance implications in contracting and data privacy laws is a plus.

Expected full time annual base pay scale for this position is $230K-$245k. Actual base pay will consider skills, experience and location.

Based on the role, colleagues may be eligible to participate in an annual bonus plan tied to company and individual performance, or an incentive plan. We also offer a long-term incentive plan to align company and colleague success over time.
