Senior Counsel, I provides strategic guidance and commercial legal support to the senior management of Zebra, leading complex and high-dollar value business deals with distributors and channel partners in their region or business unit. Responsible for having in-depth understanding of business goals; structuring deals to meet those goals while adhering to Zebra’s company policies; conceiving and drafting template contracts and policies reflecting agreed-to content and structures; working primarily on the business critical projects, negotiating complex and high value contracts to execution against senior attorneys and management representing counterparties; and counseling on dispute resolution and enforcement of contract claims for and against Zebra. Senior Counsel, I also proactively drives legal support on various region or business-unit specific matters including litigation, data privacy and integration of acquired businesses.
Responsibilities:
A strong team-player with intense intellectual curiosity and a proactive approach who can work autonomously. Willing to absorb information and develop new legal skills and areas of expertise quickly, in a fast-paced environment. Able to support multiple demanding stakeholders, as follows:
- Has in-depth knowledge of the overall business, with an intimate understanding of the region or business unit, and becomes embedded with key business team as a trusted partner
- Zebra’s business within the respective region or business unit
- Serves as primary legal representative for the region or business unit, offering proactive solutions and risk mitigation strategies
- Independently creates and drives legal strategy to complement business objectives for the region or business unit
- Acts as senior subject matter expert on all country-specific legal requirements and provides legal counsel on a wide array of areas
- Drafts contracts of varying complexity, including contracts for which there are no existing templates and that require significant creativity
- Leads by example and collaborates with legal department and cross-functional teams to drive results
- Keeps abreast of legislative changes with a focus on antitrust/competition law, and proactively drives understanding across legal teams
- Ensures proper due diligence and compliance with corporate policies and applicable laws
- Assistance with and counsel on corporate governance and legal entity issues in region
- Promotes common tools, processes, practices and is a strong participant in departmental IT projects.
- Monitors/directs/supervises the work of less experienced colleagues and contract manager(s)
Must be able to work a hybrid schedule in Lincolnshire, IL
Qualifications:
Minimum Qualifications:
- 15+ years of experience, either in-house or with a law firm
- Education in the U.S.: J.D. from an accredited law school. During employment, must meet requirements for continuing licensure for law practice.
- Education outside U.S.: Professional legal qualification accredited in accordance with local country legal practices. During employment, must meet requirements for continuing licensure for law practice.
- Up to 10% domestic and international travel required
Preferred Skills and Competencies:
- Excellent policy and contract drafting with an emphasis on complex channel programs and related contract templates
- Excellent negotiating skills and experience drafting and negotiating a broad range of commercial agreements (including distribution, marketing and collaboration agreements, SaaS Services Agreements, software licensing, and professional services agreements)
- Excellent analytical skills and attention to detail; very strong communication skills (oral and written) and strong interpersonal skills; familiarity with local laws and managing issues across countries;; coordinating with outside counsel on complex matters
- Able to work collaboratively within and across departments including escalations to senior leadership

Salary: USD 153900.00 - USD 230900.00 Yearly
Salary offered will vary depending on your location, job-related skills, knowledge, and experience.
Additionally, all Zebra roles are eligible for cash incentive programs. For example, sales roles have additional opportunity to earn substantial variable compensation tied to quota achievement. In most other roles, the Zebra annual cash incentive program links Company and individual performance together. Some roles may also be eligible for long-term incentive equity awards.
